These terms govern richportmedia.ai and the booking application at cal.richportmedia.ai. Using the site means you accept them.

This is not the engagement contract. Campaign work runs under a separate written agreement signed by Richport Media Inc. and the issuer, covering fees, ad spend, deliverables, approval rights, confidentiality, term and termination, and its own liability terms. Neither document changes the other. Where they conflict on anything to do with a campaign, the signed agreement governs.

Parties and acceptance

These terms are between Richport Media Inc. and any person using this site.

  • Us.Richport Media Inc., a Puerto Rico corporation, registered at 1225 Ave Ponce De Leon, PH 2020, San Juan, PR 00907, United States. “Richport”, “we” and “us” mean that company and no other.
  • You.Whoever reads, browses, links to, or makes an automated request to this site — and, where you act for an employer or a client, that organisation too. Agreeing to these terms on behalf of a company confirms you are authorised to bind it.
  • How acceptance happens.By use. There is no account, no login and no “I agree” control on the public pages. The cookie banner records a choice about analytics; it is not acceptance of these terms. The sole remedy for disagreement with these terms is to stop using the site.
  • What is covered.Every page served from richportmedia.ai, and the booking application at cal.richportmedia.ai, including where it is embedded in an iframe on /contact.
  • What is not.Third-party sites we link to, which run under their own terms. And the articles themselves: we write them, but they are published on GlobalSecuritiesNews.com, a separate site under its own terms.
  • Who it is built for.Officers and directors of public issuers, and their counsel and advisers. This is not a consumer service and is not directed at children. We do not verify age, role or authority before serving a page.

No investment advice

Richport Media Inc. is a marketing firm. It is not registered as a broker, a dealer or an investment adviser in any jurisdiction.

  • Not investment advice.Nothing on this site, and nothing in any article we write, is a recommendation to buy, sell or hold any security. We do not know your circumstances, we do not assess suitability, and we do not manage anyone’s money. No adviser relationship arises from reading anything here.
  • Not an offer.Nothing here is an offer to sell, or a solicitation of an offer to buy, any security, in any jurisdiction and to any person. We do not accept or transmit orders for securities. No fee we charge is tied to a share price or to trading volume, and we hold no position in any client security. That standing rule is stated at /limitations.
  • Paid content, disclosed as such.Articles we write about an issuer are paid advertising, produced by us and paid for by that issuer in cash. Section 17(b) of the Securities Act of 1933, 15 U.S.C. 77q(b), requires the receipt of that consideration — past or prospective — and its amount to be disclosed; the SEC’s stated position adds the nature and the source of the payment. A generic advertising label does not discharge it. What we disclose, in what words, and where it sits relative to the headline is set out at /disclosures.
  • No guarantee of market outcomes.The campaign figures on this site were observed during or following documented campaign windows, in campaigns Vincent delivered under contract to the named third-party firms. They are drawn from public exchange data, issuer press releases and public filings, and are shown in each issuer’s listing currency; we do not convert them. Volume and market capitalisation move for reasons unrelated to marketing: issuer news, sector sentiment, the broader market. No outcome is guaranteed and past results are not a promise of future performance.
  • Not legal advice.These pages cite statutes, regulations and regulatory guidance. Reading a citation does not create an attorney–client relationship with anyone at Richport Media Inc.
  • Not continuously updated.This is a static site. Figures are correct as compiled and are not refreshed on a schedule. Verify any figure that matters to you against the exchange data.

Intellectual property

The writing is ours. The market data underneath it is not.

  • Ours.The text, structure, layout, design and diagrams of this site; the case-study narratives; the compilation and arrangement of everything on it; the Richport Media name and wordmark; and the articles and advertorials we write for issuers, wherever they are published. The Liquidity Multiplier is our own attribution metric: its definition, its method and its presentation are ours. Copyright is held by Richport Media Inc. or licensed to us.
  • Where the articles live.We write them; they are published on GlobalSecuritiesNews.com, a separate site under its own terms that this page does not govern. The paid-advertising label and the compensation disclosure travel with the article everywhere it goes — index card, search result, social post, forwarded email.
  • Not ours.The market data. Trading volume, price and market-capitalisation figures come from exchange records, issuer press releases and public filings. Those are facts and public records; we claim no rights in them. The fonts are self-hosted rather than pulled from a font network; they are not ours and are not ours to pass on.
  • Theirs.Issuer names, tickers, logos and marks belong to those issuers. Exchange names belong to the exchanges. They appear here to identify companies and venues, and for no other purpose.
  • What you may do without asking.Read the site. Link to any page on it. Quote from it for comment, criticism, reporting or research, with attribution to Richport Media Inc. and a link back to the page quoted. Print a page for your own or your board’s internal use.
  • What you may not do.Republish a whole article or page; sell, licence or syndicate our content; create a substitute site or product from it; use the Richport Media name or wordmark in a way that suggests we endorse you, are affiliated with you, or produced something we did not; or strip out a disclosure that travelled with a piece of content.
Text-and-data-mining rights are not reserved. Our robots.txt sets “Content-Signal: search=yes, ai-input=yes, ai-train=yes”. Under the Content Signals specification an omitted signal neither grants nor restricts, which would leave the Article 4 reservation under Directive (EU) 2019/790 intact; an explicit yes gives that reservation up. Nothing in this section reserves text-and-data-mining rights. If that position changes, robots.txt will change, and robots.txt governs over any general words here.

Permitted and prohibited use

Browsewrap terms bind the party who assents; a machine fetching a public URL assents to nothing.

  • What the machines are told./robots.txt is the machine-readable position: “Allow: /” for every user agent, plus the content signals above, and no crawl-delay line. Crawling within that is within our stated permission. It is not a promise that the edge will not slow you down or block you.
  • What binds a person.The prohibitions in this section bind anyone who has agreed to these terms, anyone acting for someone who has, and anyone who has been told directly to stop.
  • Do not circumvent controls.Cloudflare’s bot-detection script runs client-side on every page of this site, including the error page, and the edge applies its own protections. Defeating, evading or probing those — rotating addresses to get past a block, solving or bypassing a challenge to automate access, reverse-engineering the checks — is prohibited.
  • Do not impose excessive load.No automated requests at a rate that degrades the site for others or is designed to exhaust bandwidth. We publish no numeric threshold; whatever the edge enforces is enforced there. Notify [email protected] before running heavy automated access.
  • Do not misrepresent who is asking.No forged user-agent strings and no spoofed referer to pass an origin check.
  • Do not strip the disclosure.If you republish, syndicate, translate, quote at length or share an article we wrote, the paid-advertising label and the compensation disclosure go with it. That label exists because 15 U.S.C. 77q(b) and the FTC’s guidance on deceptively formatted advertisements require it of us, and that guidance is explicit that the disclosure must survive republication in search results, social posts and email. Stripping it defeats a disclosure we are required to make and leaves an unlabelled paid promotion running under your name. If an issuer paid you, directly or indirectly, you have a 17(b) duty of your own.
  • Do not present our work as independent.No passing off anything we published as unpaid research, as the work of an unaffiliated analyst, or under any byline but the one it carries. Writing under invented personas is one of the patterns the SEC identified in its 2017 paid-article sweep.
  • Do not misuse the booking widget.No automated, bulk or fraudulent bookings. No using the free-text fields to send anything unlawful, abusive or malicious. No probing the booking server for routes that are not part of the booking flow.
  • Other prohibited conduct.No malware, no attempts to interfere with or gain unauthorised access to any system behind this site, no using the site to break securities law, and nothing unlawful in the jurisdiction you are sitting in.
  • We can terminate access.Nothing here obliges us to keep serving you. We can rate-limit, block or ban, at the edge or otherwise, with or without notice. There is no appeals process. A block can be raised at the address in the contact section below.

The booking widget and third-party code

The calendar on /contact runs on a server we control, not on a hosted third-party product.

  • What it is.Tymeslot, an open-source booking application, running on a server we control at cal.richportmedia.ai and embedded in the contact page as an iframe. What you type into it goes to our server, not to a scheduling vendor’s. Where that server sits, who else touches the data and what is stored is set out at /booking-privacy.
  • A booking is a request.Booking a call creates no contract, obliges us to nothing beyond turning up or telling you we cannot, and obliges you to buy nothing. We may decline, reschedule or cancel. A campaign only exists once a written agreement is signed.
  • What we say on a call is not a term.Budgets, timelines, target multipliers and campaign outlines discussed on an introductory call are estimates and proposals. They bind neither side until they appear in a signed agreement.
  • Code we did not write.This site loads Google Analytics from googletagmanager.com, and that tag also fires an audience ping to Google’s advertising infrastructure. Cloudflare injects its own analytics, bot-detection and email-decoding scripts at the edge; they are not in our source. /cookies names each one, what it stores and for how long. /privacy covers the legal basis and the transfers.
  • Email to us.There is no contact form on richportmedia.ai; the booking widget is the only place on the property where you type into a field. The address on /contact is copyable text, rewritten at the edge by Cloudflare to keep it away from harvesters, which means it needs JavaScript to display. Unsolicited material sent to us — a deck, a draft, an idea — is not treated as confidential unless we have agreed in writing that it is, and we are not obliged to return it, use it or pay for it.

No warranty

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY. To the fullest extent permitted by law, Richport Media Inc. disclaims all implied warranties, including the implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty arising from course of dealing, course of performance or usage of trade. We do not warrant that the site will be available, uninterrupted, timely, secure or error-free, that any defect will be corrected, or that the site or the servers that make it available are free of harmful components.
  • On availability.This is a static site served through a content delivery network, and the booking application runs on a single virtual server. There is no published uptime target, no status page and no service credit if any of it is down.
  • On accuracy.Figures are compiled from public data as at the date stated and are not continuously refreshed. We do not warrant that any figure remains current, or that the public sources we drew on were themselves free of error.
  • On third-party code.Scripts loaded from Google and injected by Cloudflare are outside our control. We do not warrant their behaviour, their security, or that they do only what their operators document.
  • Where the law says otherwise.Some jurisdictions do not permit the exclusion of implied warranties or of certain liability. Where that is so, the exclusions above apply to the fullest extent that law allows and no further, and nothing in this section removes a right your local law gives you that cannot be removed by agreement.

Limitation of liability

The exclusions and the cap in this section are a basis of the bargain for a site you pay nothing to read.

TO THE FULLEST EXTENT PERMITTED BY LAW, RICHPORT MEDIA INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, or for lost profits, lost revenue, lost trading or investment opportunity, lost data, loss of goodwill, reputational harm or business interruption, arising out of or in connection with your use of, or inability to use, this site or the booking application — whether the claim is framed in contract, tort (including negligence), strict liability, statute, restitution or otherwise, and whether or not we were advised that such damages were possible.
  • Investment losses.We are not liable for any investment decision made by anyone who read anything on this site or in anything we published, or for any loss arising from one. If you bought or sold a security because of something you read, that was your decision and your risk.
  • The aggregate cap.Our total aggregate liability for all claims relating to this site and the booking application is limited to one hundred United States dollars (US$100). This cap is in addition to, not instead of, the exclusions above.
  • What is not capped.Nothing here limits liability that cannot lawfully be limited — including fraud and fraudulent misrepresentation by us, and, where applicable, death or personal injury caused by our negligence. Nothing here limits our statutory obligations to data subjects under the GDPR, the UK GDPR or any other applicable data-protection law.
  • What this does not touch.A signed engagement agreement carries its own liability, indemnity and remedy terms. This page does not cap, extend or otherwise affect them.
  • Time limit.Any claim arising out of your use of this site must be brought within one year of the date the claim arose, to the extent such a limit is enforceable where you are.

Indemnity

You agree to indemnify, defend and hold harmless Richport Media Inc. and its officers, directors, employees, agents and contractors from and against any claim, demand, action, proceeding, loss, liability, damage, fine, penalty, cost or expense — including reasonable legal fees — arising out of or connected with: your breach of these terms; your misuse of the site or the booking application; your republication, syndication or reuse of content we wrote without the paid-advertising label and compensation disclosure that travelled with it; your infringement of any intellectual property or other right of ours or of a third party; or your violation of any applicable law.

We will notify you of any claim we intend to pass on, and we may assume control of its defence and settlement at your cost. You will not settle any such claim in a way that admits fault on our behalf, imposes an obligation on us, or binds us in any way, without our prior written consent.

This obligation survives your ceasing to use the site.

Governing law and venue

Richport Media Inc. is a Puerto Rico corporation. Puerto Rico law governs these terms, and Puerto Rico is the forum for disputes under them.

  • Governing law.These terms, and any dispute arising out of them or out of your use of the site, are governed by the laws of the Commonwealth of Puerto Rico and applicable federal law of the United States, without regard to conflict-of-laws principles.
  • Venue.The Court of First Instance of the Commonwealth of Puerto Rico, San Juan Part, or the United States District Court for the District of Puerto Rico where federal jurisdiction exists. Both parties submit to the personal jurisdiction of those courts and waive any objection to venue there or on grounds of forum non conveniens.
  • No arbitration clause.These terms contain no arbitration clause and no class-action waiver. If either is added, it will appear on this page.
  • Mandatory law elsewhere.Choosing Puerto Rico law does not remove protections your own law gives you that cannot be contracted out of. If you are in the European Union or the United Kingdom, your rights under the GDPR and the UK GDPR are unaffected by this section — including your right to lodge a complaint with your own supervisory authority under Article 77, and your right to object to direct marketing under Article 21(2), which is absolute and is not weighed against anything. See /privacy and /data-collection.
  • Where the site is aimed.We operate from Puerto Rico and make no representation that the site or its content is appropriate or lawful anywhere else. If you access it from another jurisdiction, you do so on your own initiative and you are responsible for compliance with local law.

Changes to these terms

We can change these terms. When we do, we replace this page and change the date at the top of it. The date is the notice.

There is no notification we can send you. The site has no accounts and no mailing list, so there is no channel to push a revision down. Records we hold on people who booked a call or received cold outreach — described at /booking-privacy and /data-collection — are not used to send terms updates. Changes take effect when they are posted and apply from that point forward; they do not apply retroactively. We do not publish an archive of earlier versions of this page.
  • Severability.If a court finds any provision unenforceable, that provision is narrowed to what the law permits, or struck if it cannot be, and the rest of these terms remain in force.
  • No waiver.If we do not enforce a term, we have not given it up. A waiver counts only if it is in writing and signed by us.
  • Assignment.You may not assign or transfer these terms. We may, to a successor to the business or its assets, and the terms follow.
  • Who else can rely on this.The officers, directors, employees, agents and contractors named in the liability and indemnity sections may rely on those sections. Nobody else acquires a right to enforce any of these terms.
  • The whole of it, for the website.These terms, together with /privacy, /cookies, /disclosures, /data-collection and /booking-privacy, are the whole of what governs your use of this site. Marketing copy elsewhere on the site is description, not a contractual term. A signed engagement agreement sits outside all of it and governs campaign work.
  • Language.These terms are written in English. If we publish a translation it is a convenience; the English version governs.
  • Headings.Section headings are navigation. They do not limit or interpret the text under them.
